What you are buying

CoradoSoft LLC ("CoradoSoft", "we") licenses software platforms. Each platform is sold in five editions — CoradoSoft Brand, White Label, Own, Rent to Own and Custom — and what you receive depends on which edition you purchased. TWO OF THEM RENT AND THREE OF THEM TRANSFER A LICENCE: CoradoSoft Brand and White Label run for as long as you subscribe and end when you stop; Own, Rent to Own and Custom leave you holding a licence you keep. The edition, the price and the delivery estimate shown at checkout, together with these terms, form the agreement between us.

Prices are in US dollars. Licence and setup fees are charged once, at purchase. Monthly fees are a subscription: you provide a payment card at checkout, the first month is charged with your purchase, and the card is charged automatically on the same day each month thereafter until the subscription ends.

SOURCE CODE IS NOT INCLUDED IN ANY EDITION. On Custom builds it may be purchased separately under a written agreement, priced from $5,000. The Own edition is deployed to infrastructure you control under a licence to use the deployed platform; holding the running software on your own servers does not convey its source code or any right to modify, copy or redistribute it.

CoradoSoft Brand edition

You receive a licence to operate your business on a CoradoSoft-hosted deployment carrying your business name, logo and content. The deployment and the source code remain CoradoSoft property. Native App Store and Google Play applications are available only through the App Store deployment add-on, published under developer accounts you hold, never under CoradoSoft's.

Your business data is yours. On request at any time, and on termination, we will export it to you in a standard machine-readable format at no charge.

The licence runs while your monthly subscription is current. If you stop paying it, we will keep your data available for export for 60 days and then delete it.

White Label edition

You receive a non-exclusive licence to operate the platform under your own business name, at your own domain and on your own merchant account, FOR AS LONG AS YOUR SUBSCRIPTION IS CURRENT. Your customer relationships and your business data are yours.

THIS EDITION RUNS ON CORADOSOFT'S OWN DEPLOYMENT AND ITS PRICE INCLUDES NO NATIVE MOBILE APPLICATIONS. What your customers use is an installable web application served from your domain. Native applications are available as an add-on — App Store deployment, $200 — published under developer accounts held in your name, which you provide. Your own servers and your own accounts are what the Own edition adds.

THIS EDITION DOES NOT TRANSFER A LICENCE YOU KEEP. It is a subscription. If you stop paying, the licence ends and the service is withdrawn. Your data remains available for export for 60 days and is then deleted. Your domain and your merchant account are yours throughout and are unaffected.

The monthly fee is all-inclusive — hosting, upkeep, upgrades and support — and covers the licence itself. There is no separate care plan to add, and none is offered on this edition.

You may not resell, sublicense or redistribute the platform as a product competing with CoradoSoft's catalogue. You may sell services and subscriptions built on your deployment to your own customers without limit and without paying us a share.

Own edition

You receive a perpetual, non-exclusive licence to operate your own branded deployment of the platform as your own product. CoradoSoft deploys it to servers and accounts held by you, at your own domain and on your own merchant account, and performs the initial configuration. Your customer relationships and your business data are yours. The licence is perpetual and does not depend on any monthly fee.

HOSTING, UPKEEP AND SUPPORT ARE OPTIONAL ON THIS EDITION, at $97 a month. With them, CoradoSoft maintains, updates and supports the deployment on your accounts. Without them, you operate the deployment yourself, platform updates are not delivered, and any support is quoted when requested. The cost of your own infrastructure — servers, domains and app-store developer accounts — is yours in either case.

SOURCE CODE IS NOT DELIVERED ON THIS EDITION, including where the software runs on your servers. You may not decompile, modify, copy, resell, sublicense or redistribute the platform. You may sell services and subscriptions built on your deployment to your own customers without limit and without paying us a share.

Moving up to the Own edition

If you hold a current CoradoSoft Brand or White Label subscription for a platform, THE AMOUNT YOU PAID TO START ON IT COMES OFF THE OWN PRICE for that same platform — $97 on CoradoSoft Brand, $297 on White Label. There is no time limit and the credit does not expire. Native App Store and Google Play applications are available on any edition as an add-on, under developer accounts you hold; what the Own edition adds is your own servers, your own accounts and a licence you keep.

MONTHLY FEES ARE NOT CREDITED. They paid for hosting, upkeep and support that was delivered in the months they covered, and they are not a deposit against a future purchase. The same rule applies on the Rent to Own edition, where an early settlement is the unpaid principal only.

The credit applies once per platform, to the edition price and not to any care plan, and cannot be exchanged for cash or applied to a different platform. Moving up includes deploying the platform to infrastructure you hold, on the Own edition's delivery estimate.

Rent to Own edition

You receive the Own edition, paid over a term of 6, 12 or 18 months chosen at purchase. The platform price is the Own price, spread evenly across the term and rounded to the cent, with no interest and no finance charge. A one-time setup fee is charged with the first payment and is not part of the platform price. Hosting, upkeep and support are charged monthly throughout the term, as part of each payment. The Own licence transfers to you on the final payment.

DURING THE TERM THE PLATFORM RUNS ON CORADOSOFT'S INFRASTRUCTURE, not on yours. After the final payment you may keep hosting, upkeep and support with us, or have the platform moved to infrastructure you hold, at which point the Own edition's terms on optional support apply.

THIS IS A FIXED-TERM CONTRACT, NOT A CANCELLABLE SUBSCRIPTION. If you stop paying, the full remaining balance of the price remains owing. Service stops on the day payment stops: the deployment is taken offline and any published applications are withdrawn from the app stores. Amounts already paid are not refunded, and no licence transfers.

You may settle the outstanding balance early at any time, with no penalty and no interest on the amount settled. The balance is the unpaid principal only and never includes monthly fees for months not yet served.

Custom edition

Custom work is governed by a written scope agreed before work begins, which sets out deliverables, milestones, price and dates. Where that scope and these terms conflict, the scope wins.

Custom work is delivered as a deployed platform under a perpetual, non-exclusive licence to use it in your own business. Hosting, upkeep and support are $97 a month. SOURCE CODE IS NOT INCLUDED: it may be purchased separately, priced from $5,000 according to the project's complexity, under a written agreement that sets out exactly what is delivered and what you may do with it.

Pre-existing CoradoSoft platform code included in the delivery is licensed for use within the delivered system only. You may not extract it, resell it, sublicense it or redistribute it as a product competing with CoradoSoft's catalogue.

Add-ons

APP STORE DEPLOYMENT, $200 ONE TIME, AVAILABLE ON EVERY EDITION. We publish your platform as an application on the Apple App Store and Google Play, under developer accounts held in your name. YOU MUST HOLD OR OPEN THOSE ACCOUNTS: Apple's review guidelines require an app built on a shared platform to be submitted by the business whose content it carries, so we cannot publish yours under CoradoSoft's accounts. The stores' own fees (currently $99 a year for Apple and a one-time $25 for Google) are yours, and their review decisions are outside our control; changes a store requires before it will publish are quoted as new work. On the CoradoSoft Brand edition the platform itself continues to run on CoradoSoft's infrastructure — the listing is yours, the deployment is not.

SOURCE CODE, FROM $5,000. Custom builds only, under the separate written agreement described in the Custom edition.

DIY SETUP. Where a platform offers a DIY option on the CoradoSoft Brand edition, you configure it yourself and no setup fee is charged. Setup help requested later is quoted.

Payments in your applications

Where a delivered platform takes payments from your customers, it does so on your own merchant account with Stripe, Clip, Mercado Pago or another supported provider. CoradoSoft does not hold, route or take a share of that money, and is not a party to those transactions.

Delivery and acceptance

Delivery estimates are given in working days from the date payment clears and we have received the brand assets and access we need from you. Delays caused by waiting on those are not counted against the estimate.

On handover you have 14 days to report anything that does not match what was sold. We fix those at no charge. Requests for behaviour that was not part of the purchased edition are quoted as new work.

Refunds

Before work begins, a purchase is refundable in full. Once configuration has started, the licence fee is non-refundable and the setup fee is refundable pro rata for work not yet done. If we cannot deliver what was sold, you get a full refund.

Warranty and liability

We warrant that the software will materially perform as described on its product page for 90 days after handover, and that we have the right to license what we deliver to you.

Beyond that, the software is provided as is. Our total liability under this agreement is limited to the amount you paid us in the twelve months before the claim. Neither party is liable for indirect or consequential loss, including lost profits.
