What you are buying

CoradoSoft LLC ("CoradoSoft", "we") licenses software platforms. Each platform is sold in three editions — Branded, White Label and Custom — and what you receive depends on which edition you purchased. The edition, the price and the delivery estimate shown at checkout, together with these terms, form the agreement between us.

Prices are in US dollars. Licence and setup fees are charged once, at purchase. Hosting and support fees, where an edition carries them, are invoiced after handover and are never charged at checkout.

Branded edition

You receive a licence to operate your business on a CoradoSoft-hosted deployment carrying your logo, colours and content. The deployment, the source code and any mobile applications remain CoradoSoft property and are published under CoradoSoft's App Store and Google Play accounts.

Your business data is yours. On request at any time, and on termination, we will export it to you in a standard machine-readable format at no charge.

The licence runs while your hosting and support subscription is current. If you stop paying it, we will keep your data available for export for 60 days and then delete it.

White Label edition

You receive a perpetual, non-exclusive licence to the delivered source code for use in your own business, including the right to modify it and to deploy it on infrastructure you control. Applications are published under your own developer accounts, in your name.

You may not resell, sublicense or redistribute the source code itself as a product competing with CoradoSoft's catalogue. You may sell services and subscriptions built on your deployment to your own customers without limit and without paying us a share.

Hosting and support are optional on this edition. Declining them does not affect your licence.

Custom edition

Custom work is governed by a written scope agreed before work begins, which sets out deliverables, milestones, price and dates. Where that scope and these terms conflict, the scope wins.

Custom work built specifically for you is delivered with source code and documentation on final payment. Pre-existing CoradoSoft platform code included in the delivery is licensed on White Label terms.

Payments in your applications

Where a delivered platform takes payments from your customers, it does so on your own merchant account with Stripe, Clip, Mercado Pago or another supported provider. CoradoSoft does not hold, route or take a share of that money, and is not a party to those transactions.

Delivery and acceptance

Delivery estimates are given in working days from the date payment clears and we have received the brand assets and access we need from you. Delays caused by waiting on those are not counted against the estimate.

On handover you have 14 days to report anything that does not match what was sold. We fix those at no charge. Requests for behaviour that was not part of the purchased edition are quoted as new work.

Refunds

Before work begins, a purchase is refundable in full. Once configuration has started, the licence fee is non-refundable and the setup fee is refundable pro rata for work not yet done. If we cannot deliver what was sold, you get a full refund.

Warranty and liability

We warrant that the software will materially perform as described on its product page for 90 days after handover, and that we have the right to license what we deliver to you.

Beyond that, the software is provided as is. Our total liability under this agreement is limited to the amount you paid us in the twelve months before the claim. Neither party is liable for indirect or consequential loss, including lost profits.
